The terms that apply when you use voxlan.io or hire Voxlan. Last updated: October 14, 2026.
These Terms & Conditions (“Terms”) govern your use of voxlan.io and the services provided by Voxlan (“Voxlan”, “we”, “us”), a digital marketing studio operated from Colombia, to business clients (“Client”, “you”). Our services are for businesses, not for consumers.
Each engagement is described in a written proposal, statement of work, quote or order confirmation (“Proposal”). The Proposal and these Terms together form the agreement. If they conflict, the Proposal prevails for that engagement. You accept the agreement by approving the Proposal in writing (email or message included), paying the first invoice, or giving us access so we can begin work.
Depending on the Proposal, services may include: content production and UGC-style video and photo; paid media management (Meta, Google, TikTok and similar platforms); marketing automation and CRM setup (for example GoHighLevel); funnel and landing page building; web design and development; and SEO, AEO and GEO. Anything not listed in the Proposal is out of scope; additional work needs your written approval and may carry additional fees.
Advertising spend is separate from our fees and is never included in them.
Marketing results depend on many factors outside our control, including your product, offer, price, market, budget, sales process, speed of follow-up, competitors and changes made by the platforms. We work to a professional standard and aim for strong results, but we do not guarantee any specific outcome, such as sales, leads, return on ad spend (ROAS), cost per lead, reach or rankings. Results and figures shown on our website or in our materials are real examples of past work for specific clients and are not a promise of future performance.
We submit content for your approval before it is published. The number of revision rounds is stated in the Proposal; if none is stated, two rounds of reasonable revisions are included, and further changes may be quoted separately. Approving content means you confirm that it can be published. We may use creators, editors and other specialists as subcontractors who are bound by confidentiality. We may use AI tools (for example AI avatars or voices) when the Proposal says so or you approve it; we will only use the likeness or voice of a real person with that person’s permission, and you are responsible for any disclosure requirements that apply to your advertising.
The content we create for you belongs to you. Once the related fees have been paid in full, you own the final deliverables created specifically for you (such as videos, photos, edits, copy, graphics, ad creatives and landing page designs) and may use, edit, publish, boost and distribute them anywhere, for your own business and without time limit. Creators and on-camera talent who appear in your deliverables have given the permissions needed for that use; you may not resell or sublicense the content to third parties as stand-alone material.
Voxlan keeps ownership of its pre-existing materials, templates, methods, tools, code libraries and know-how (“Voxlan Materials”) and grants you a non-exclusive license to use them as part of the deliverables. Third-party materials (stock footage, music, fonts, plugins, software) remain subject to their own licenses. Raw footage and working files are not included unless the Proposal says so; we can provide them on request, and may charge for preparing them.
Portfolio. Unless you tell us otherwise in writing, we may show the deliverables and the general nature of the work in our portfolio and social media. We will ask for your approval before naming you or publishing your confidential business figures.
Subscriptions and usage costs of the tools we configure for you (CRM, SMS, email, phone numbers, messaging registrations and similar) are paid by you unless the Proposal includes them. The customer and lead data in your systems is yours. We process it only to provide the services and following your instructions, we keep it confidential and protect it with reasonable safeguards. You are responsible for lawful collection and use of that data and for complying with marketing and messaging rules that apply to you (such as CAN-SPAM, TCPA, GDPR, Colombian Law 1581 of 2012 and WhatsApp policies). If you need a data processing agreement, ask us and we will provide one.
Our services depend on third-party platforms and tools (such as Meta, Google, TikTok, WhatsApp, Calendly, GoHighLevel and hosting providers). We do not control their availability, algorithms, policies, prices or changes and are not responsible for outages, errors or decisions by those providers.
Each party will keep the other’s non-public business information confidential, use it only for the engagement, and not disclose it except to advisers and subcontractors who need it and are bound to confidentiality, or when required by law. This obligation continues for three years after the engagement ends. It does not apply to information that is public, already known to the receiving party, or independently developed. We do not share your confidential information with other clients, even if we work with businesses in your industry.
When you work with Voxlan, you will meet or be assigned people such as strategists, media buyers, editors, designers, developers, content creators, actors and other talent, whether employees or independent contractors. You agree not to contact, hire, engage or work directly, outside of Voxlan, with any person who works or has worked with Voxlan, or induce them to stop working with Voxlan, during the term of the agreement and for 2 years after it ends. Normal communication with them inside the project, through the channels Voxlan sets up, is of course allowed.
If this clause is breached, you will pay Voxlan, as a pre-agreed penalty and not as a limit on other remedies, an amount equal to the greater of USD 5,000 or six (6) months of the fees the person’s work generated or would have generated for Voxlan. You acknowledge this amount is a reasonable estimate of Voxlan’s loss (recruiting, training, client relationships and lost business), and that Voxlan may also seek an injunction and recover the actual damages that exceed it. If you want to hire someone who works or worked with Voxlan, ask us first: we can agree on a buy-out fee in writing.
This clause does not apply to people who were already working with you before Voxlan introduced them to you, and does not restrict a person from responding to a general public job posting that was not aimed at them.
Unless the Proposal sets a minimum term, ongoing services run month to month and either party may end them with 30 days’ written notice. Either party may end the agreement immediately by written notice if the other materially breaches it and does not fix the breach within 10 days of notice, and we may end it if invoices remain unpaid. On termination you pay for work performed and costs committed up to the end date, fees already paid for the current month are not refunded, we hand over the deliverables and remove ourselves from your accounts, and you keep your ad accounts and assets. Sections that by nature should survive (payment, ownership, confidentiality, liability, governing law) continue after termination.
We will perform the services in a professional and workmanlike manner. Except as expressly stated in these Terms or the Proposal, services and the website are provided “as is” and we disclaim all other warranties to the extent the law permits, including fitness for a particular purpose and uninterrupted or error-free operation.
To the maximum extent allowed by law: (a) Voxlan will not be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data, goodwill or wasted advertising spend; and (b) Voxlan’s total liability arising from the services will not exceed the fees you paid to Voxlan in the three months before the event that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or willful misconduct.
You will defend and compensate Voxlan against third-party claims, losses and reasonable costs arising from the materials, products, offers or claims you provide or promote, your breach of these Terms, or your violation of the law or of platform policies.
Voxlan acts as an independent contractor. Nothing in these Terms creates an employment, partnership, agency or joint venture relationship. We are not exclusive to you and may work with other clients, always respecting section 12.
You may use voxlan.io for lawful purposes only. The site, our brand, text, design and original content belong to Voxlan or its licensors and may not be copied, scraped or reused without permission, except for sharing links. The information on the site is general and does not constitute professional advice. Links to third-party sites are provided for convenience and we are not responsible for them. Our Privacy Policy explains how we handle personal information.
Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, public emergencies, internet or platform outages, strikes or government actions. Payment obligations for work already performed are not excused.
These Terms are governed by the laws of the Republic of Colombia. We will first try to resolve any dispute in good faith through direct negotiation for 30 days. If that fails, the dispute will be submitted to the competent courts of Colombia, unless the parties agree in writing on mediation or arbitration.
